Creator Program Agreement

Parties

1. Program Overview

SuperPay AI, Inc. operates a financial optimization platform that analyzes a user's payment methods and helps determine the most advantageous payment option for each transaction.

The SuperPay Creator Program allows approved creators to promote SuperPay to their audience and earn commissions for qualified referrals.

2. Eligibility

To participate in the Creator Program, the Participant must:

• Submit an application through SuperPay's creator portal.
• Be approved by SuperPay.
• Sign this Agreement.
• Comply with all marketing and disclosure requirements.

SuperPay reserves the right to approve or reject any application at its sole discretion.

3. Referral Tracking

Upon approval and execution of this Agreement, the Creator will receive a unique promo code. This code is shared with the Creator's audience and entered by new users at signup to attribute the referral. Users who sign up with a Creator's promo code receive a 14-day free trial of SuperPay Pro.

SuperPay's internal systems determine referral attribution and are the final authority for commission tracking.

4. Commission Structure

Creators earn 30% commission on qualifying subscription revenue for 12 months from the referred user's first paid subscription. The 14-day free trial does not generate commission; commissions begin when the user's paid subscription starts.

Commissions apply only to net subscription revenue actually received by SuperPay.

5. Payout Terms

Payout schedule: Net 60 from the end of the month in which revenue was earned.

This delay allows SuperPay to account for refunds, chargebacks, and reconciliation.

SuperPay reserves the right to withhold payouts if fraud is suspected, pending investigation.

6. Minimum Payout Threshold

Creator payouts will be issued once commissions reach a minimum balance of $100 USD.

Balances below this threshold will roll forward to the next payout cycle.

7. Payment Methods

Payments may be issued via ACH, PayPal, Wise, or other methods selected by SuperPay.

Creators must provide accurate payment details.

8. Taxes

Creators are independent contractors and responsible for their own taxes. Creators must provide:

• W-9 (U.S. creators)
• W-8BEN (international creators)

SuperPay may issue tax reporting forms as required by law.

9. Marketing Guidelines

Creators must promote SuperPay honestly and comply with FTC disclosure rules. Creators may not:

• Make misleading claims
• Guarantee financial results
• Represent themselves as SuperPay employees

10. Prohibited Activities

The following are prohibited:

• Self-referrals
• Fraudulent or bot traffic
• Incentivized signups
• Cookie stuffing or misleading redirect links
• Paid advertising using SuperPay trademarks without approval

SuperPay may void commissions generated through prohibited activities.

11. Intellectual Property

Creators receive a limited, revocable license to use SuperPay branding solely for program promotion.

All intellectual property remains owned by SuperPay AI, Inc.

12. Confidentiality

Creators agree not to disclose internal program information, financial data, or proprietary materials without written permission.

13. Termination

Either party may terminate this Agreement with 30 days written notice to the other party.

SuperPay may also terminate participation in the program immediately for cause, including violation of any terms in this Agreement.

Earned commissions prior to termination remain payable according to standard payout terms.

14. Limitation of Liability

SuperPay shall not be liable for indirect, incidental, or consequential damages arising from participation in the program.

15. Independent Contractor

Participation in the program does not create employment, partnership, or joint venture relationships. Creators operate as independent contractors.

16. Governing Law

This Agreement shall be governed by the laws of the State of Delaware, United States.

17. Dispute Resolution

Any disputes arising from this Agreement shall be resolved through binding arbitration in the State of Delaware, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.

18. Modifications

SuperPay may modify program terms with 30 days notice to the Creator's registered email address. Continued participation in the program after the notice period constitutes acceptance of modified terms.
